These Terms of Service govern your use of ExperiOps ("we", "us", "our") and the operational stewardship agreements you enter into with us. By creating an account or submitting a project, you agree to these terms.

1. The service

ExperiOps provides operational stewardship for software projects — including web apps, mobile apps, games, browser extensions, and packages. "Stewardship" means we take responsibility for uptime monitoring, dependency management, security patching, codebase health, and (depending on your plan) feature delivery, on your behalf. Depending on our agreement, we may provide development services as well.

The specifics about the services we provide for a given project are outlined in the stewardship agreement.

2. Accounts

You must create an account to use the platform. Authentication is handled by Auth0 — your password is never stored by ExperiOps. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

You must be at least 18 years old and have the legal authority to enter into agreements on behalf of yourself or any organisation you represent. If you are registering a project that is owned by a company, you warrant that you are authorised to bind that company to these terms.

We may suspend or terminate accounts that violate these terms, are inactive for extended periods, or are used fraudulently.

3. Project submission and review

To request stewardship, you register a project on the platform and submit it for review. Submission is free. We aim to complete our initial review within 5 business days and will notify you of the outcome by email.

We may accept, waitlist, or reject a project at our sole discretion. Rejection does not require a reason, though we'll try to give useful feedback. Submitting a project does not create any obligation on either side until a stewardship agreement is separately confirmed in writing.

You may withdraw a submitted project at any time before acceptance, which returns it to draft status. Draft projects can be edited or deleted freely. Projects under stewardship are subject to the terms of the stewardship agreement.

4. Stewardship plans

We offer several stewardship arrangements. Current plan details and pricing are described on our pricing page, which we update as our offering evolves.

Regardless of plan type, the specific pricing, revenue share percentages, minimum terms, notice periods, and service scope that apply to your project are confirmed in a separate stewardship agreement signed by both parties. These Terms of Service govern the relationship in all matters not addressed by that agreement.

Where a revenue-share arrangement applies, "net revenue" means gross revenue less payment processing fees, taxes collected on behalf of a government, and refunds, unless otherwise defined in your stewardship agreement.

5. Intellectual property

By default, you retain full ownership of your project's source code, data, brand, and intellectual property. Accepting stewardship does not transfer ownership rights to ExperiOps unless an equity arrangement is explicitly agreed in writing as part of your stewardship agreement.

In some cases, and only where both parties mutually agree, ExperiOps may acquire an equity stake in a project. Any such arrangement — including the percentage, vesting conditions, and dilution terms — will be documented separately and signed by both parties. No equity interest is created by these Terms alone.

You grant ExperiOps a limited, non-exclusive, non-transferable licence to access, modify, deploy, and operate your project solely for the purpose of delivering the stewardship service. This licence ends when the stewardship agreement terminates.

Any improvements, patches, or code changes we make to your project during stewardship become your property upon delivery, unless an equity arrangement specifies otherwise. We do not retain rights to work product created for your project beyond what is agreed in writing.

6. Your responsibilities

You agree to:

  • Provide accurate information when registering and submitting a project.
  • Grant us the access credentials, repository permissions, and hosting access necessary to perform stewardship.
  • Notify us promptly of any incidents, significant traffic events, or changes to the project's architecture or revenue model.
  • Pay any retainer fees on time as agreed.
  • Not submit projects that are illegal, facilitate illegal activity, contain malware, or infringe third-party intellectual property rights.
  • Not attempt to circumvent, reverse-engineer, or interfere with the platform.
8. Confidentiality

We treat your project data, revenue figures, codebase, and business information as confidential. We will not disclose them to third parties except: subprocessors necessary to deliver the service (see our Privacy Policy), as required by law, or with your written consent.

You agree to keep confidential any non-public information about ExperiOps's processes, pricing details, and internal tooling that we share with you in the course of stewardship.

9. Billing and payment

Retainer fees are invoiced monthly and due within 14 days of the invoice date. Late payments accrue interest at 1.5% per month. We reserve the right to suspend stewardship activities and suspend projects/services where applicable for overdue accounts after providing 7 days' written notice.

Revenue share payments are calculated on net revenue for each calendar month and reported to us by the 10th of the following month, with payment due within 30 days. We may audit revenue reports with 14 days' notice, no more than once per year.

Payments are processed via Stripe. All prices are in USD unless your stewardship agreement specifies otherwise.

10. Termination and offboarding

Either party may terminate a stewardship agreement with the notice period specified. On termination we will provide a 60-day transition period during which we document the system and hand back access credentials. For an additional fee, we may assist with onboarding a replacement maintainer.

We may terminate immediately if you: fail to pay fees after 30 days' notice, materially breach these terms, or use the service for illegal purposes.

On termination of your account, your project data is retained for 30 days then deleted, except where we are required to retain records for legal or financial reasons.

11. Limitation of liability

To the maximum extent permitted by law, ExperiOps's total liability to you for any claim arising out of or related to these terms or the service is limited to the fees you paid us in the 3 months preceding the claim.

We are not liable for indirect, incidental, special, or consequential damages — including lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.

12. Warranties

You warrant that: you own or have the right to submit the project, the project does not infringe any third-party rights, and any revenue figures you provide are accurate to the best of your knowledge.

The platform is provided "as is". We make no warranty that the service will be uninterrupted, error-free, or that every project submitted will be accepted.

13. Changes to these terms

We may update these terms from time to time. We'll notify you by email at least 30 days before material changes take effect. Continuing to use the service after that date constitutes acceptance of the updated terms. If you disagree, you may terminate your account before the changes take effect.

14. Governing law

These terms are governed by the laws of the jurisdiction in which ExperiOps is incorporated, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.
